Terms of Service

These Terms of Service (“Terms”) govern the professional web design, software development, application development, digital marketing, and maintenance services provided by Epiqu Digital Solutions (“Epiqu”, “we”, “us”) to our clients (“Client”, “you”).

1. Project Scope & Proposals

Every project starts with a written Scope of Work (SOW) or project quotation that outlines deliverables, milestones, estimated timelines, and associated fees. Any modifications, feature additions, or material scope changes requested during development will be documented and quoted before implementation.

2. Client Responsibilities & Approvals

To ensure timely delivery, the Client agrees to provide necessary brand assets, text content, image assets, third-party API credentials, and timely feedback within the agreed review cycles. Feedback is consolidated per milestone to maintain project momentum.

3. Intellectual Property & Code Ownership

You own your digital asset. Upon settlement of all invoice payments due for the project:

• All custom developed source code, custom design files, UI layouts, database structures, and written content created specifically for your project become your sole property.
• We retain no proprietary lock-in. Full repository access, server files, and administrative credentials will be handed over.
• Open-source software libraries, frameworks (e.g. PHP, JavaScript, CSS), or third-party plugins remain licensed under their respective open-source licenses.

4. Payment Terms & Milestone Invoicing

Projects are typically structured around standard milestone-based payment schedules (e.g., initial deposit upon signing, design/staging milestone, and final balance upon pre-launch approval). Invoices are payable via bank wire transfer, UPI, or designated digital payment gateways within 14 calendar days of issuance.

5. Warranty & Post-Launch Support Period

Every newly deployed website or custom application comes with a complimentary 30-day post-launch warranty period. During this window, Epiqu will fix any functional bugs, broken links, or rendering errors that deviate from the agreed SOW at no additional charge. Ongoing maintenance and feature updates beyond 30 days are supported via structured maintenance plans.

6. Limitation of Liability

While we build to the highest engineering standards with security best practices, Epiqu Digital Solutions shall not be held liable for indirect, incidental, or consequential damages resulting from third-party hosting server downtime, external API deprecations, or unauthorized client-side configuration changes after handover.

7. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Thanjavur District, Tamil Nadu, India.
